Terms of Service

Welcome to Verdix. These Terms of Service ("Terms") govern your access to and use of Verdix, a software service operated by OTT Media Ventures LLC, a Delaware limited liability company doing business as Verdix ("Verdix," "we," "us," or "our").

By creating an account, signing in, or using Verdix in any way, you agree to these Terms. If you do not agree, do not use the service.


1. What Verdix is — and what it is not

Verdix is a software platform that helps personal injury law firms run their practice. We provide tools for chat-based intake, demand letter generation, case tracking, settlement calculations, lien negotiation, and medical records management. Our software uses artificial intelligence to assist with these tasks.

Verdix is not a law firm. We do not practice law, provide legal advice, or represent clients. We do not establish attorney-client relationships with anyone. We are a software vendor whose customers are licensed attorneys. The output of our AI tools — including draft demand letters and chat conversations — is a starting point that requires review and approval by a licensed attorney before it has any legal effect.

Nothing in Verdix should be relied upon as legal advice. If you are an end-user of a law firm that uses Verdix (for example, you submitted information through a chat intake widget), you should speak directly with a licensed attorney about your matter. No use of Verdix creates an attorney-client relationship between you and Verdix.

2. Who can use Verdix

To use Verdix, you must:

  • Be a licensed attorney, paralegal, or other authorized member of a law firm, OR be authorized by such a person to use the service on their firm's behalf;
  • Be at least 18 years old;
  • Have the legal authority to enter into these Terms (including on behalf of your firm or organization, if applicable);
  • Not be barred from using Verdix under applicable law.

By agreeing to these Terms on behalf of a firm, you represent that you have authority to bind that firm to these Terms.

3. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at team@verdixlaw.com if you suspect unauthorized access.

You must provide accurate, current, and complete information when creating your account, and keep it updated.

4. Pricing, trial, and billing

Verdix is offered on a paid subscription basis. Current pricing is published at verdixlaw.com/#pricing.

14-day free trial. New firms may use Verdix for 14 days without a paid subscription. During the trial, you may use all features of the plan you sign up for. At the end of the trial, your subscription begins automatically unless you cancel.

Monthly billing and auto-renewal. Subscriptions renew automatically each billing period (monthly or annual, as you select) at the then-current rate, until cancelled. You authorize us, through our payment processor (Stripe), to charge your payment method on each renewal.

No refunds. Subscription fees are non-refundable, including for partial months of service, unused features, or if you cancel mid-period. You may cancel at any time, and your subscription will remain active through the end of the period you have already paid for. We may, at our sole discretion, issue refunds in exceptional circumstances; this is not a guarantee or commitment.

Price changes. We may change subscription prices with at least 30 days' notice via email or in-app notification. If you do not cancel before the change takes effect, the new price applies to your next renewal.

Failed payments. If we are unable to charge your payment method, we may suspend or terminate your access until payment is received.

5. Your content and data

You own your data. Anything you upload, type, generate, or otherwise put into Verdix — case files, chat transcripts, demand letters, settlement records, client information — remains your property (or the property of your client, as applicable). We claim no ownership over your content.

You grant us a limited license to provide the service. To run Verdix, we need to store, process, transmit, and display your content. By using Verdix, you grant us a non-exclusive, royalty-free license to do these things solely to provide the service to you. This license ends when you delete your content or terminate your account, except where retention is required by law or for routine backups.

AI processing. When you use Verdix's AI features (such as demand letter generation or chat intake), your content is sent to our AI provider (currently Anthropic, the maker of Claude). Per Anthropic's API terms, your content is not used to train Anthropic's models. See our Privacy Policy for full details on subprocessors.

Accuracy of your data. You are responsible for the accuracy of information you enter into Verdix. We do not verify, validate, or audit case information, client details, or settlement figures.

6. HIPAA and protected health information

Important: Verdix is not currently HIPAA-certified and is not Business Associate Agreement ("BAA") eligible.

Personal injury practice routinely involves Protected Health Information ("PHI") — medical records, treatment details, billing information, and similar data. While we have designed Verdix with security best practices and we are working toward HIPAA-compliant infrastructure, we do not currently sign Business Associate Agreements and we cannot provide HIPAA compliance assurances during this beta period.

Your responsibilities:

  • You are solely responsible for compliance with HIPAA, HITECH, state medical privacy laws, your state bar's rules on client confidentiality, and any other applicable regulations regarding the data you enter into Verdix.
  • You represent that you have obtained all necessary client authorizations and consents for any client information you enter into the platform, including any PHI.
  • We recommend that you minimize PHI entered into Verdix where possible (for example, using case numbers and initials instead of full names and detailed diagnoses).
  • If your firm requires a signed BAA to use a software vendor for PHI processing, Verdix is not currently the right fit for those workflows. Please contact us at team@verdixlaw.com to be notified when our HIPAA-compliant tier launches.

We plan to offer a HIPAA-compliant tier with signed BAAs in the future. This will require additional infrastructure (HIPAA-eligible database hosting, audit logging, dedicated environments) and will be priced accordingly. We will notify customers when this becomes available.

7. Acceptable use

You agree not to:

  • Use Verdix for any illegal purpose or to violate any law, regulation, or rule of professional conduct;
  • Use Verdix in any way that constitutes the unauthorized practice of law (if you are not a licensed attorney);
  • Misrepresent AI-generated content as the work product of a licensed attorney without that attorney's review and approval;
  • Attempt to reverse engineer, decompile, or extract source code from Verdix;
  • Use Verdix to send spam, harass any person, or send unsolicited communications in violation of applicable law;
  • Attempt to gain unauthorized access to other accounts, our infrastructure, or any related systems;
  • Resell, sublicense, or otherwise commercialize access to Verdix without our written permission;
  • Use Verdix to develop a competing product or service.

8. AI-generated content disclaimer

Verdix uses artificial intelligence to generate text, including but not limited to demand letters, chat responses, case summaries, and document drafts. AI output may contain errors, omissions, fabricated citations or facts ("hallucinations"), or content that is not appropriate for your specific case or jurisdiction.

You are responsible for reviewing every piece of AI-generated content before relying on it, sending it, or filing it. Verdix is a tool that accelerates your work; it does not replace the professional judgment of a licensed attorney. We are not responsible for harm caused by AI-generated content that was not reviewed by a qualified human before use.

9. Our intellectual property

Verdix — the software, design, code, documentation, branding, and all related materials — is our intellectual property. We grant you a limited, revocable, non-transferable, non-sublicensable license to use the service during your subscription. All rights not expressly granted are reserved.

You may not copy, modify, distribute, sell, or create derivative works of our software, code, or designs without our written permission.

10. Service availability and modifications

We aim for high availability but do not guarantee uninterrupted service. Verdix is provided "as is" and may experience downtime for maintenance, upgrades, or reasons beyond our control. We are not responsible for losses caused by service interruptions.

We may modify, suspend, or discontinue features at any time. We will provide reasonable notice of material changes that affect paying customers.

11. Termination

You can cancel at any time. Cancel through your Settings page or by contacting team@verdixlaw.com. Your access continues until the end of your current billing period. We do not provide pro-rated refunds for partial periods.

We may terminate or suspend your account if you violate these Terms, fail to pay, use the service in a way that creates risk for us or other customers, or for any other reason at our discretion (with reasonable notice when possible).

Upon termination, your access ends and your data may be deleted after a reasonable retention period. We recommend exporting any data you wish to keep before cancelling. See our Privacy Policy for our data retention practices.

12. Disclaimers

VERDIX IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED OUTPUT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE FROM ALL THREATS, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT AI-GENERATED CONTENT IS ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR USE CASE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF VERDIX IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL.

14. Indemnification

You agree to defend, indemnify, and hold harmless Verdix and OTT Media Ventures LLC from any claims, damages, costs, or expenses (including reasonable attorneys' fees) arising out of (a) your use of the service in violation of these Terms, (b) your content, (c) your violation of applicable law including HIPAA, state bar rules, or unauthorized practice of law statutes, or (d) any third-party claim related to AI-generated content you used without proper review.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms will be resolved in the state or federal courts located in Delaware, and you and Verdix consent to the exclusive jurisdiction of those courts.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use of Verdix after the effective date means you accept the updated Terms.

17. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding Verdix and supersede any prior agreements.

Severability. If any provision is found unenforceable, the remaining provisions stay in effect.

No waiver. Our failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Notices. We may give notices via email, in-app messages, or postings on the Verdix website. You may give us notice at team@verdixlaw.com.
